1. Acceptance of Terms

By accessing or using the services provided by Kiwi Systems AI (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services.

2. Services

Kiwi Systems AI provides AI-powered automation agents for businesses in New Zealand and Australia. Our services include agent customization, system integration, deployment, and ongoing support as described in our service agreements.

3. Pricing and Payment

All prices are in NZD and include setup unless otherwise stated. Payment terms are as agreed in your service agreement. We reserve the right to update pricing with 30 days notice.

4. Intellectual Property

Our AI agents are built on proven open-source foundations. Customizations developed for your business belong to you. Our proprietary tools, frameworks, and methodologies remain our intellectual property.

5. Data and Privacy

We take data security seriously. Your data is processed in accordance with our Privacy Policy and applicable New Zealand and Australian privacy laws.

6. Service Level

We aim to deploy agents within 2 weeks of agreement. Support response times and service levels are defined in your service agreement. We do not guarantee uninterrupted or error-free service.

7. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from these terms or our services shall not exceed the fees paid by you in the 12 months preceding the claim.

8. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination, we will provide reasonable assistance in transitioning your data and processes.

9. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email or a notice on our website. Continued use of our services constitutes acceptance of updated terms.

10. Governing Law

These terms are governed by the laws of New Zealand. Any disputes shall be resolved in the courts of New Zealand.
